B2B Terms & Conditions

These B2B Terms & Conditions govern access to and use of BidMeat.eu and all business purchases submitted through the platform. The platform is operated by Karpatia Rzeszów Sp. z o.o., Zaczernie 792A, 36-062 Zaczernie, Poland, EU VAT ID PL5170399989, REGON 383671269 ("BidMeat", "we", "us" or "our"). Questions may be sent to sales@bidmeat.eu.

1. General provisions

BidMeat.eu is a wholesale trading platform intended exclusively for entrepreneurs, companies, institutions and other professional customers acting for purposes connected with their trade, business or profession. By creating an account, submitting an order or otherwise using the platform, the customer confirms that it acts as a business customer and that the person acting for it is authorised to bind that business.

The platform is not a consumer online shop. Consumer-specific rights, including the statutory consumer right to withdraw from a distance contract without giving a reason, do not apply. These Terms form part of each accepted order together with the relevant order confirmation, product information, agreed commercial terms and any individual written arrangements. If an individually agreed written term conflicts with these Terms, the individually agreed term prevails for that order.

The customer must read the Terms before submitting an order. Use of the platform is also subject to the Privacy Policy and Cookie Policy. Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded under mandatory law.

2. Business customer account

Access to ordering functions requires a business account. The customer must provide complete and accurate company data, billing information, EU VAT identification where applicable, contact details and any delivery warehouse information used for an order. The customer must promptly update information that becomes inaccurate or outdated. BidMeat may request reasonable documents or clarifications to verify the customer, its representatives, VAT status, delivery destination or authority to place orders.

Login credentials are personal to the authorised user and must be protected against unauthorised access. The customer is responsible for activity performed through its account unless it promptly reports suspected misuse and the activity is attributable to BidMeat's fault. The customer must notify BidMeat without undue delay if credentials are lost, compromised or used without authority.

BidMeat may suspend or restrict an account where information is materially incomplete, verification fails, misuse is suspected, payment obligations are overdue, or continued access could create legal, security or commercial risk. Suspension does not cancel accepted orders or outstanding payment obligations. One company may be limited to one principal account under the platform's current company-registration rules.

3. Products and product information

Product pages describe wholesale goods using information available from producers, suppliers and the relevant Saleor catalogue data. Descriptions may include species, cut, processing condition, origin, packaging, nominal carton weight, price unit, storage requirements, images and other commercial specifications. Images are illustrative unless expressly identified as an exact batch representation; natural products can vary in colour, shape, fat coverage, dimensions and other non-material characteristics.

The customer must assess whether a product is suitable for its intended professional use and destination market. Where a product specification, label, declaration or batch document is relevant, the batch-specific or order-specific document prevails over general website copy. The customer should request clarification before ordering if a characteristic is essential to its purchasing decision.

BidMeat will not knowingly substitute a materially different product without agreement. Minor packaging or presentation changes that do not materially alter the agreed product may occur. Product information does not constitute a guarantee of certificates, approvals or market availability unless expressly confirmed for the relevant order or batch.

4. Product weight and quantity

Products are ordered in kilograms where the product page and order flow state quantity in kg. The minimum order quantity and ordering increment displayed for the product are binding. The customer must submit a whole quantity that satisfies both rules. The platform and backend may reject quantities below the minimum, quantities outside the permitted increment or quantities above real available stock.

Nominal carton weight and an estimated carton count are packaging information only. They do not replace kilograms as the commercial order unit. Because meat and other food products may be variable-weight goods, the actual confirmed product weight can differ from a nominal carton weight or preliminary requested weight. Any permissible adjustment will be reflected in the final confirmed order data and relevant commercial documents.

The customer must verify the quantity shown in the cart and Review before submission. BidMeat may contact the customer if fulfilment requires a reasonable weight adjustment. We will not increase the commercial quantity materially without agreement. Stock validation remains applicable even where a technically valid minimum or increment has been entered.

5. Prices

Unless expressly stated otherwise, product prices are EXW prices expressed in EUR per kilogram and exclude delivery. Taxes, where applicable, are determined in accordance with the legal status of the transaction and trusted order data. Prices displayed while browsing may change before an order is accepted because of market conditions, supplier changes, stock updates or correction of an obvious error.

The price presented in the final Review is the price used for the purchase request. A submitted request does not oblige BidMeat to accept an evident pricing error or an order that cannot be fulfilled on the displayed terms. If a correction is required, BidMeat will provide the corrected terms for the customer's approval or decline the request.

Once an order is accepted, its historical product prices are preserved in the order snapshot and are not recalculated from current catalogue prices. Products, Delivery and Total are shown separately so the customer can distinguish the value of goods from transport. Currency conversion is applied only where an applicable configured market mechanism supports it.

6. Delivered price

Where the customer selects Delivery, the delivered commercial view combines the EXW value of the goods with the transport cost allocated to the ordered quantity. The platform may display an indicative Delivered EUR/kg figure calculated from the Products amount, Delivery amount and total kilograms. This figure helps comparison but does not turn the transport charge into part of the EXW product price.

The cart and order continue to present Products, Delivery and Total as separate amounts. Delivered price depends on the selected warehouse, road distance, configured transport rate and quantity over which the transport cost is allocated. Changing quantity can therefore change Delivered EUR/kg even when the cost of the route remains the same.

Only the quote calculated for the selected warehouse and current cart is relevant. A price calculated for one warehouse, cart or session must not be assumed to apply to another. If a delivered quote is temporarily unavailable, the customer may use Pick-up or return later; BidMeat does not replace unavailable routing data with a fabricated distance or price.

7. Delivery calculation

The Delivery amount is calculated from road-routing information between BidMeat's configured dispatch location and the delivery warehouse selected by the customer, multiplied by the transport rate maintained in the BidMeat delivery configuration. Routing may be supplied by an external mapping service and can differ from straight-line distance, a route suggested by another service or the route ultimately taken by a carrier.

The customer is responsible for providing a complete and accurate warehouse address that can be reached by suitable commercial vehicles. A change of country, postal code, city, street or building number may require a new quote. BidMeat may correct or withdraw a quote where the address is invalid, no viable route is available, exceptional access restrictions apply, or the calculation is affected by a manifest technical error.

The backend recalculates delivery during cart, Review and order creation using trusted configuration and the customer's authorised warehouse. A browser-supplied delivery amount is not accepted as authoritative. The route cost is generally a cost of the trip and does not change solely because product kilograms change, although a materially different transport requirement may require separate agreement.

8. EXW / Pick-up orders

For Pick-up orders, the displayed product value is based on EXW commercial terms and Delivery is zero. The customer arranges and pays for collection, the carrier and all transport from the agreed dispatch location. The collection date, loading window, vehicle details and operational instructions are confirmed separately for the accepted order.

The customer must provide a vehicle and equipment suitable for the goods, including required refrigeration, hygiene, load securing and capacity. BidMeat may refuse or postpone loading if the vehicle is unsuitable, unsafe, lacks required temperature control or cannot lawfully receive the goods. Such refusal does not transfer the customer's transport responsibilities to BidMeat.

Risk, loading responsibilities and other operational consequences are determined by the agreed Incoterm and the accepted order. A customer must not dispatch a carrier until collection has been confirmed. Costs caused by an unconfirmed arrival, inadequate vehicle, carrier delay or failure to collect may be charged where permitted by law and supported by the circumstances.

9. Orders

Submitting an order through BidMeat is a business purchase request. It is not final acceptance by BidMeat. The request contains the selected products, quantities, fulfilment method, warehouse where applicable, payment method and amounts calculated at submission. The customer must review all information before using Submit order.

An order becomes binding when BidMeat accepts or confirms it through the intended order process or otherwise communicates acceptance. BidMeat may reject a request because of stock changes, verification issues, pricing errors, payment risk, unavailable transport, sanctions or export restrictions, or other reasonable commercial or legal grounds. Where only part can be supplied, revised terms require customer agreement unless the customer has expressly authorised partial fulfilment.

Order records and immutable snapshots are retained to document what was requested and accepted. Retrying a request with the same idempotency identifier must not intentionally create duplicate orders. The customer should contact sales@bidmeat.eu if confirmation is unclear rather than repeatedly submitting the same purchase request with different identifiers.

10. Payment

Available methods for new orders may include SEPA Bank Transfer and SEPA Instant. Payment instructions are provided in the order confirmation and Pro Forma. A Pro Forma is a commercial payment document and is not a payment method or a VAT invoice. The customer must use the stated order or document reference so that payment can be allocated correctly.

Deferred Payment is not automatically available to new customers. It requires separate approval based on factors that may include completed trading history, company and customer verification, an approved credit limit and trade-credit insurance approval. Displaying Deferred Payment as unavailable does not constitute a promise that it will later be granted. BidMeat may withdraw or revise credit terms for future orders where risk circumstances change.

Payment is made in the stated currency, normally EUR for the EU market, without unauthorised deductions or set-off. Bank charges imposed by the customer's bank are borne by the customer. BidMeat may delay confirmation, release, dispatch or delivery until required funds are received or agreed credit conditions are satisfied. Payment status in the platform is informational and subject to reconciliation.

11. VAT and intra-EU transactions

VAT treatment is determined from the transaction, customer status, delivery circumstances, available evidence and applicable law. The customer must provide a valid legal name, billing address, country and VAT or EU VAT identification and must notify BidMeat of changes before an order is accepted. Submission of a VAT number does not by itself establish entitlement to any particular treatment.

For an intra-Community supply of goods, a zero-rate WDT treatment may be applied only when all applicable statutory conditions are fulfilled, including conditions relating to the parties, movement of goods and required evidence. BidMeat may request VAT verification, transport documents, proof of receipt or other records and may apply a different treatment where the conditions are not established.

No VAT rate is guaranteed by these Terms. A Pro Forma is not a VAT invoice. Final invoicing reflects the trusted tax data and legal assessment available at the relevant supply event. The customer is responsible for its own acquisition reporting, reverse-charge or local obligations and should obtain professional tax advice where necessary.

12. Delivery and receipt of goods

Delivery dates and windows are estimates or operational arrangements unless expressly confirmed as binding in writing. The customer must ensure that the selected warehouse is open, accessible to the relevant vehicle and authorised to receive the goods. It must provide suitable unloading facilities, personnel and accurate contact details and disclose material access restrictions in advance.

On receipt, the customer should inspect the shipment as far as reasonably possible for package count, visible condition, labels, quantity, transport damage and temperature where relevant. Visible shortages, damage or temperature concerns should be recorded on carrier or delivery documentation and supported by photographs or other evidence. Signing without reservation may affect the ability to establish that an issue was visible at receipt, subject to applicable law.

The customer must move goods promptly into suitable storage and maintain traceability. If receipt is refused without justified cause, or unloading is materially delayed by the customer, BidMeat may take reasonable steps to protect the goods and recover resulting costs where legally permitted.

13. Claims and quality issues

The customer must notify BidMeat of an alleged shortage, non-conformity, damage or quality issue without undue delay after discovery. We do not impose an invented universal fixed deadline; the timing required depends on the nature of the goods, the defect, applicable law and whether evidence can still be reliably assessed. Perishable goods require especially prompt handling.

A claim should identify the order, product, quantity, batch or lot, labels and the nature of the issue. Relevant photographs, receiving records, temperature logs, transport information, storage records and retained samples should be supplied where appropriate. The customer must preserve affected goods safely, segregate them where necessary and avoid disposal or onward use before reasonable inspection unless safety or law requires immediate action.

BidMeat will assess the claim using the available evidence and may request inspection, laboratory information or supplier input. Any remedy, including replacement, credit, price adjustment or rejection of the claim, depends on the facts, contractual allocation and applicable law. Reporting a claim does not automatically suspend payment of undisputed amounts.

14. Fresh and frozen goods

Fresh and frozen food products require continuous compliance with appropriate hygiene, temperature, storage and handling conditions. Product labels, specifications and applicable food law determine the relevant conditions. The customer is responsible for maintaining the required cold chain from the point at which transport or risk is allocated to it and throughout unloading, storage, processing and onward distribution.

Fresh goods have limited commercial life and should be ordered only where the customer can receive and use them within suitable time. Frozen goods must remain within required frozen conditions and must not be mishandled or refrozen contrary to product instructions or law. The customer must use suitable calibrated monitoring and keep records where required.

BidMeat may decline loading or delivery arrangements that would foreseeably compromise food safety. A quality claim can be rejected where evidence shows that deterioration resulted from unsuitable customer-arranged transport, delayed unloading, incorrect storage, broken cold chain, improper handling or use after applicable shelf-life information.

15. Product availability

Catalogue availability is dynamic and can change between browsing, cart preparation, submission and final acceptance. Displaying Available or a quantity validation result does not reserve stock. Stock is reserved or allocated only according to the Saleor order and fulfilment process applicable to the accepted transaction.

If requested goods become unavailable, BidMeat may decline the request or propose a lower quantity, different loading date or alternative product. A materially different alternative is supplied only with customer agreement. BidMeat does not guarantee continuous availability of any species, cut, producer, origin, packaging or fresh or frozen condition.

The platform enforces available stock at relevant backend stages, but operational discrepancies can occasionally arise from simultaneous orders, batch controls or supplier changes. BidMeat will not knowingly circumvent stock protection. Amounts paid for goods that cannot be supplied will be handled in accordance with the agreed resolution and applicable law.

16. Cancellations and returns

Because the platform is exclusively B2B, consumer withdrawal rights do not apply. A purchase request may be withdrawn before acceptance only if BidMeat receives and can act on the request in time. After acceptance, cancellation requires BidMeat's prior written agreement and may be refused where goods have been reserved, prepared, procured, packed, dispatched or otherwise committed to the order.

Fresh, frozen, variable-weight and other perishable goods cannot be returned merely because the customer changes its mind. Any return requires prior authorisation, agreed transport and temperature conditions, traceability and confirmation that the goods can lawfully and safely be accepted. Unauthorised returns may be refused.

Where BidMeat agrees to cancellation or return, the parties will determine the commercial consequences based on product condition, recoverable value and costs already incurred. This section does not remove remedies for a proven non-conformity or other rights that cannot be excluded under applicable law.

17. Documents

BidMeat may provide order confirmations, Pro Forma documents, VAT invoice visualisations or final invoices, product documents and other records through My Account, authenticated download routes or email. Access is restricted to the authenticated customer that owns the relevant order or document. The customer must keep its contact email current and protect downloaded commercial documents.

A Pro Forma is generated as a commercial payment document for an accepted order and is expressly not a VAT invoice. Invoice timing and status depend on the applicable supply, payment, tax and administrative process. Where KSeF or another legally required system later applies, a local PDF must not be treated as proof of official submission unless real acceptance data is present.

Documents use trusted order snapshots so historical prices, quantities, delivery and totals are not silently recalculated from current catalogue settings. The customer must review documents and report an apparent clerical discrepancy promptly. Duplicate download or generation requests do not create an entitlement to duplicate numbering.

18. Force majeure

Neither party is liable for delay or failure to perform to the extent caused by an event beyond its reasonable control that could not reasonably have been avoided or overcome. Such events may include natural disasters, fire, epidemic restrictions, war, civil disturbance, government measures, sanctions, border disruption, transport shutdown, energy interruption, cyber incidents affecting essential providers, labour disruption or serious failure in supply chains.

The affected party should notify the other party within a reasonable time, describe the expected impact where known and take reasonable measures to limit disruption. Obligations are suspended only to the extent and for the period affected. Payment obligations for goods already supplied are not excused merely because a later force majeure event occurs.

If performance becomes impossible or commercially unreasonable for a prolonged period, the parties may agree revised performance, partial fulfilment or cancellation of the affected part. Statutory rights remain applicable. This clause does not excuse a party's failure to take reasonable business continuity measures.

19. Liability

Each party is responsible for loss caused by its breach, negligence or other conduct to the extent provided by the contract and applicable law. BidMeat is not responsible for indirect consequences arising solely from inaccurate customer data, unsuitable customer-arranged transport, improper storage or handling, unauthorised product use, or failure to follow batch documents and legal requirements.

Website descriptions and estimates must be read with the relevant order confirmation and batch information. BidMeat does not accept liability for a customer's business assumptions that were not made an agreed contractual requirement. The customer remains responsible for its onward sale, local-market compliance, food-business duties, taxes and professional assessment of suitability.

Nothing in these Terms creates a fixed monetary liability cap or excludes liability where exclusion is prohibited, including liability that cannot lawfully be limited. The parties must take reasonable steps to mitigate loss and preserve evidence. Any allocation of risk in an accepted Incoterm or individual agreement remains effective.

20. Platform availability

BidMeat aims to provide reliable access but does not guarantee uninterrupted or error-free operation. Availability can be affected by maintenance, updates, provider outages, network problems, security controls or events outside reasonable control. Product, routing or document functions may be temporarily unavailable without making fabricated data available as a substitute.

BidMeat may maintain, change or temporarily restrict the platform to protect users, data, commerce integrity or legal compliance. We will seek to limit unnecessary disruption. Customers should retain downloaded order and commercial records required for their business and should not rely on the website as their sole archival system.

The customer must not probe, overload, automate against, interfere with or attempt unauthorised access to the platform. Reasonable security and rate limits may apply. A technical issue should be reported to sales@bidmeat.eu with sufficient non-sensitive detail to allow investigation.

21. Personal data

Personal data concerning customer representatives, account users, warehouse contacts and other business contacts is processed as described in the BidMeat Privacy Policy. The customer must ensure that it has a lawful basis to provide personal data of its personnel and other contacts and must give them relevant information about the processing where required.

The customer must not place unnecessary sensitive personal data in free-text fields, delivery notes or order correspondence. Account and document access must be limited to authorised personnel. BidMeat applies technical and organisational safeguards appropriate to the processing, but customers must also maintain secure devices, credentials and internal access controls.

Commercial records may need to be retained to perform contracts, meet accounting or tax duties, establish legal claims and protect platform security. Data protection requests are handled under applicable law and may be subject to lawful retention obligations.

22. Applicable law

These Terms and accepted orders are governed by Polish law, subject to any mandatory law that applies regardless of the chosen law. The United Nations Convention on Contracts for the International Sale of Goods applies only if the parties expressly agree that it applies to a particular transaction.

The parties should first attempt to resolve disputes through good-faith commercial discussion. The customer should provide the relevant order and supporting evidence so that the issue can be assessed efficiently. An attempt to resolve a dispute informally does not prevent either party from protecting a claim within an applicable limitation period.

Unless mandatory law or an individual written agreement provides otherwise, courts competent for the registered office of Karpatia Rzeszów Sp. z o.o. have jurisdiction. Nothing in this section limits rights that cannot lawfully be restricted by a jurisdiction agreement.

23. Amendments

BidMeat may amend these Terms to reflect legal changes, platform functionality, security requirements or commercial processes. The current version and effective date should be made available on the platform. Material changes affecting future use may be communicated through the account, website or business email where appropriate.

Changes do not retrospectively alter an accepted order unless required by mandatory law or expressly agreed by the parties. The version accepted or otherwise applicable when an order is submitted remains relevant to that transaction. Continued use after an updated version takes effect constitutes acceptance for future activity where legally effective.

If a provision is invalid or unenforceable, the remaining provisions continue to apply. The parties will interpret or replace the affected provision as closely as legally possible to its commercial purpose. Failure to enforce a provision once does not constitute a permanent waiver.

24. Contact
